Notice of ECM 2010 Annual General Meeting to be Held on 27 April 2010

The Annual General Meeting of the shareholders of the Company (the “Meeting”) will be held at its registered office in Luxembourg at 9, rue du Laboratoire, L-1911 Luxembourg, Grand Duchy of Luxembourg, on 27 April 2010, at 10:30 a.m., with the following agenda:

Agenda

1. Reports of the board of directors and of the auditors on the statutory andconsolidated accounts of the Company as at 31 December 2009.
   
2. Approval of the statutory accounts of the Company as at 31 December 2009.
   
3. Approval of the consolidated accounts of the Company as at 31 December 2009.
   
4. Allocation of the net results.
   
5. Re-appointment of a Luxembourg independent auditor (réviseur d'entreprises agréé), Deloitte S.A., for a period ending immediately after the annual general meeting of shareholders to be held in 2011, to audit in the capacity of independent auditor (réviseur d'entreprises agréé) both the statutory and the consolidated accounts of the Company.
   
6. Discharge to the members of the Board of Directors and to the auditors.
   
7. Election of Directors.
   
8. Approval of director's remuneration received for their performance of their duties during the year 2009 and during the period from January 2010 till April 2010.
   
9. Approval of the future remuneration scheme of the members of the Board of Directors for the period commencing on the Annual General Meeting of shareholders to be held on 27th April 2010 to the date of the Annual General Meeting of shareholders to be held in 2011.
   
10. Miscellaneous.
    
    

The Meeting shall validly deliberate on all the items without any quorum requirement and resolutions shall be adopted by at least 50% of the votes cast.

 

Všechny zájemce o registraci k účasti/hlasování na řádné valné hromadě žádáme o vyplnění a zaslání Formuláře pro účast na valné hromadě faxem na 224 346 110 nebo e-mailem na radomir.vilimec@msystem.cz, nejpozději do 17:00 hod. dne 19.4.2010. Formulář je možno nalézt v Technických podmínkách provozu RM-S (TPP) č. 38 příloha 2 na adrese http://www.rmsystem.cz/docs/predpisy/TPP38.doc.

 

Registrace případných zájemců pro účely účasti/hlasování na řádné valné hromadě bude RM-SYSTÉM, česká burza cenných papírů, a.s. zajišťovat ve spolupráci se společností ECM REAL ESTATE INVESTMENTS A.G., přičemž se bude jednat pouze o jejich registraci u společnosti ECM REAL ESTATE INVESTMENTS A.G..

 

RM-S zřídí PPN (validaci) na předmětné cenné papíry, kterých se žádost o účast na valné hromadě týká a to do dne ukončení valné hromady včetně, což znamená, že.od okamžiku obdržení žádosti a po provedené kontrole až do dne konání řádné valné hromady včetně, budou předmětné akcie zájemců o účast na ŘVH blokovány.

 

Poplatek za blokaci akcií pro účely účasti/hlasování na ŘVH je stanoven na 1 000,- Kč/ klient a za odblokování dalších 1 000,- Kč/klient. K formuláři pro účast na valné hromadě je tak třeba přiložit i doklad o úhradě ceny služby resp. souhlas se stržením ceny služby z JUMBO účtu. V případě souhlasu se stržením ceny z JUMBO účtu je pro úspěšné provedení služby zákazník povinen mít dostatek peněžních prostředků na JUMBO účtu pro stržení ceny služby.
